DASTA Inc. Investing Championships Terms and Conditions

This Investing Championships Terms and Conditions (the “Agreement”) is made between you, the participant (“Participant”), and DASTA Inc. (“dub”), a Delaware corporation, regarding your participation in the dub Investing Competition (the “Competition”). By entering the Competition, you acknowledge that you have read, understood, and agreed to the following terms and conditions.

1. Overview of the Competition

1.1 Hosting and Payout
The Competition is hosted by DASTA Inc. (“dub”), the parent company, and all prizes will be paid by DASTA Inc. DASTA Financial, LLC (“dub Financial”), a subsidiary of DASTA Inc., will continue to provide brokerage services for the execution of securities.

1.2 Enrollment and Start of Competition

• Enrollment Period: Begins on December 6, 2024, and continues until the Competition reaches a minimum of 3,000 participants.
• Once the minimum is met, all contestants will be notified, and the Competition will begin one week later.
• Performance Period: The Competition will run for three months starting on the announced date.

2. Rules and Portfolio Restrictions

2.1 Portfolio Composition Rules

• 30% Weight Limit: You may not purchase securities such that the weight of a single company exceeds 30% of your portfolio, subject to the following:
  • You may hold more than 30% if market movements increase its weight above the limit, but no further purchases can be made for that company until the weight is reduced to 30% or less.
  • Holdings across share classes (e.g., GOOG and GOOGL) will be aggregated.
  • Diversified ETFs and non-equity ETFs are excluded from this rule.

2.2 Compliance with Guidelines
Participants must comply with dub’s Terms of Service and Community Guidelines throughout the Competition.

2.3 Compliance with Laws and Fair Play
Participants must comply with all applicable laws, including but not limited to securities laws and regulations prohibiting insider trading or other unlawful activities. 

2.4 Marketing Restrictions
Participants are prohibited from promoting, pumping, or marketing their portfolios outside of the dub app for the purpose of increasing followers or the amount of capital copying their portfolio. Violations of this provision will result in immediate disqualification from the Competition.

2.5 Age Requirement
Participants must be at least 18 years old to enter the Competition.

3. Conflicts of Interest

3.1 dub’s Economic Interests
Participants acknowledge that dub and dub Financial have economic interests in this Competition, including:

• Attracting new subscribers to the dub platform, which generates additional subscription revenue.
• Increasing total assets in brokerage accounts, which may result in:
  • Higher payment for order flow revenue.
  • Additional interest income from uninvested cash in the sweep program.

3.2 Disclosure of Non-Advisory Nature
This Competition is not intended to provide investment advice, nor does it involve the provision of advisory services. Participants are responsible for their own investment decisions.

3.3 Participant Representation
By entering, Participants represent and warrant that they:

• Are not investment advisors and do not hold themselves out as such.
• Are not providing specific investment advice to any user of the platform.

4. Liability and Assumption of Risk

4.1 Voluntary Participation
Participation in the Competition is entirely voluntary. Participants assume all risks associated with their participation, including but not limited to:

• Market losses resulting from investment decisions.
• Disqualification for rule violations.
• Modifications to the Competition or its terms.

4.2 Waiver of Liability
By participating, Participants expressly waive any claims against dub, dub Financial, and their respective officers, employees, affiliates, and agents for:

• Losses arising out of investment decisions during the Competition.
• Changes or cancellations related to the Competition.

4.3 No Guarantee of Returns
Dub makes no representations, warranties, or guarantees regarding the performance of Participants’ portfolios or the likelihood of winning a prize.

4.4 Competition Cancellation or Non-Occurrence
Participants acknowledge that dub reserves the right to cancel the Competition at any time or decide not to host the Competition if the minimum threshold of 3,000 participants is not met. Participants further agree that any subscription fees they have paid are not dependent on the Competition taking place and will not be refunded in the event of cancellation or non-occurrence.

5. Prizes and Compensation

5.1 Total Prizes
The following prizes will be awarded:

• Top Portfolio Returns (3 months):
  • 1st Place: $30,000
  • 2nd Place: $15,000
  • 3rd Place: $7,500
  • 4th–6th Place: $2,500 each
  • 7th–10th Place: $1,000 each
  • 11th-20th Place: $600
• Most-Copied Portfolio: $10,000
• Most Copying Capital: $10,000
• Top Performing Student Portfolio: $10,000 scholarship

5.2 Payment Details
All prizes will be paid by dub, through a means that dub shall determine in its sole discretion.

5.3 Prize Nature
Prizes are not payments for investment advice or any advisory services.

6. Use of Photos, Images, and Likeness

6.1 License Grant
By participating, Participants grant dub and its affiliates a perpetual, worldwide, royalty-free license to use their likeness (name, image, videos, etc.) for promotional purposes.

6.2 No Additional Compensation
Participants agree to the use of their likeness without additional compensation beyond any awarded prizes.

7. Disqualification and Termination

7.1 Disqualification

Dub reserves the right to disqualify Participants for violations of rules, inappropriate behavior, or other reasons deemed harmful to the Competition.

7.2 Termination or Modification
Dub may terminate or modify the Competition at its sole discretion, including changes to the start date, rules, and prize structure.
