This agreement ("Agreement") between DASTA Incorporated ("dub") and you outlines the terms and conditions for subscribing to dub's platform and is designed to support the technology, administration and operations of dub.

dub's platform empowers you to create investment portfolios or replicate the investment holdings of other users through its proprietary copy trading technology. By subscribing to dub, you gain unrestricted access to dub's proprietary platform. This includes the ability to:

• Copy Portfolios: Enjoy access to our proprietary technology, seamlessly replicating the trading activity of your chosen portfolios in real-time, ensuring you're always in sync with your preferred strategies.
• Portfolio Creation Technology: Utilize dub's portfolio creation technology to develop a customized portfolio of stocks, with designated weights for each stock. Simply determine a notional value to invest, and our technology will build the order and allocate that notional value according to your specified weights. This feature also enables you to share your portfolio publicly if you meet eligibility requirements.

Subscription Details: While subscribed, you have exclusive privilege to the platform to leverage these features, without limitation, for an enhanced and seamless investment experience.

Fee: The platform subscription is one tier with a flat monthly fee of $9.99 (“Monthly Rate”) or an annual charge of $79.99 (“Annual Rate”). You will be charged at the time you subscribe for either one month or one year, and this will be the start of your subscription period, subject to any applicable "free trial period". The end subscription period will be one month or one year from the start of your subscription period, depending on your selected subscription. Your subscription will automatically renew unless canceled by you before the end of the-then current subscription period. You acknowledge and agree that dub may, without notice or liability to you, and in its sole discretion, modify the Monthly or Annual Rate and the features provided to you through the platform. You also acknowledge and agree that dub may at any time, in its sole discretion and without notice, terminate your subscription, including as a result of your inability to pay the Monthly or Annual Rate.

You acknowledge and agree that this Agreement and the fees associated with this subscription is for the technology and administration of the platform, and is not intended as a fee for the provision of any advisory or brokerage services; and may not be relied on in any manner as investment advice, a recommendation, or endorsement of any user, portfolio, thematic idea, or ESG factor offered by dub or its subsidiaries. All investments involve risk, including the possible loss of principal. You further acknowledge and agree that the provision of access to the platform through this subscription does not constitute the establishment of an advisory relationship or a solicitation for engaging in any transaction, and dub is not responsible for any investment decisions or for any damages or other losses resulting from the use of platform.

Termination: If you choose to cancel your subscription for any reason, dub will remove access to the platform at the end of the subscription period, and you will not receive a refund for any pro-rata portion of the monthly fee applicable to that billing cycle. Additionally, if you are invested in one or more portfolio, you will no longer be able to invest on the platform and will be required to liquidate your positions.

Important Information, Governing Law, Misc.: You acknowledge and agree that by subscribing, you remain subject to all other terms and conditions provided in the: (1) Terms of Use, (2) Customer Brokerage Agreement, and (3) Customer Advisory Agreement.
This Agreement is governed by the laws of the State of New York without regard to conflict of law principles. Any action or proceeding brought by you relating in any way to this Agreement shall be brought and enforced in the courts of the Southern District of New York, and you hereto irrevocably submit to the jurisdiction for such federal courts in respect of any such action or proceeding.
